Expand Your Reach into the U.S.

OTC Markets

The United States represents approximately two thirds of the world’s equity market value. For international companies, gaining visibility here can be a powerful step toward attracting investors and broadening access to capital.

A Cost Effective Gateway to Access US Investors.

For many international companies, listing directly on a U.S. exchange such as NYSE or Nasdaq is cost-prohibitive and compliance-heavy. An alternative is to maintain a primary listing (e.g. LSE, AIM or AQSE) while cross-trading on OTC Markets, enabling issuers to obtain a U.S. ticker symbol, trade in U.S. dollars during market hours, and reach a wider base of U.S. investors - all without the full listing requirements of a U.S. national exchange.

Key OTC Market Tiers: Venture Market

OTCQB

Created in 2010, this market tier consists mainly of early-stage and developing businesses that are current in reporting and meet minimum bid and shareholder requirement, but not yet able to qualify for OTCQX.

Suitable for companies that:
• Meet Rule 12g3-2(b) requirements by making key company information (such as financial statements, press releases, and shareholder communications) publicly available online in English for U.S. investors, without needing full SEC registration.
• Publish annual audited financials
• Maintain a $0.01 minimum bid price
• Have at least 50 beneficial shareholders, each owning at least 100 shares
• Maintain a public float of at least 10%

Key OTC Market Tiers: Best Market

• Meet Rule 12g3-2(b) requirements
• Have a minimum $10 million market capitalisation
